AGENCY MEMBERSHIP AGREEMENT (ANNUAL TERM)

This Agency Membership Agreement (“Agreement”) is entered into between Top Quality Inspections, Inc., a Florida corporation (“TQ Inspections”), and the subscribing insurance agency (“Agency”). This Agreement governs the Agency’s membership benefits, obligations, referral compensation, portal access, cancellation rules, and compliance with Florida state law.

1. TERM OF AGREEMENT

1.1 Annual Term. This Agreement remains in effect for twelve (12) months from the membership start date and automatically renews for successive terms unless terminated under Section 14.
1.2 Membership Benefits Period. All benefits apply only while the Agency maintains active membership status and timely payments.

2. TIER 1 — STANDARD MEMBERSHIP ($125 PER MONTH)

2.1 Membership Fee. $125 per month, billed automatically. Fees are non-refundable.
2.2 Referral Compensation. Agency receives 5% of each completed inspection submitted through the portal.
2.3 Portal Access. Agency receives full access to the TQInspections.com portal for submitting inspection requests, retrieving reports, and tracking referral status.
2.4 Courtesy Permit Searches. Up to fifteen (15) online-only permit searches per month.
2.5 Client Re-Inspections. Free re-inspections within five (5) days of original inspection. After 5 days, fee is $100.
2.6 Annual Free Inspection Credit. Upon completion of seven (7) inspections in a membership year, Agency earns one (1) complimentary 4-Point & Wind Mit combo inspection (value up to $150).

3. ACTIVE MEMBERSHIP REQUIREMENTS

3.1 Continuous Membership Required. Referral compensation, inspection credits, permit searches, and all benefits require continuous active membership without interruption.
3.2 Forfeiture Upon Cancellation or Lapse. If membership lapses or is canceled for any reason:
• All referral compensation for that period is forfeited.
• All free inspection credits are void.
• All membership benefits terminate immediately.
• No prorated refunds or back payments will be issued.

4. PAYMENT OF REFERRAL COMPENSATION

4.1 Referral compensation is earned only upon completion and payment of the inspection.
4.2 Compensation is paid only to the licensed Agency entity—not individual agents.
4.3 Premium Members receive quarterly payouts within fifteen (15) business days after each quarter.

5. COMPLIANCE WITH FLORIDA LAW

5.1 Referral compensation is exclusively for marketing and referral of inspection services.
5.2 Compensation is not tied to the sale, negotiation, solicitation, or placement of insurance policies.
5.3 This Agreement complies with Florida Statutes including §626.572 (anti-rebating).

6. LIMITATION OF LIABILITY

TQ Inspections shall not be liable for losses related to Agency operations, including business loss, misconduct by Agency employees, missed deadlines, delays caused by third parties, or system outages.

7. PORTAL USE AND DATA RESPONSIBILITY

Agency must maintain accurate account details, secure credentials, and comply with all portal policies. Unauthorized use may result in suspension or termination.

8. TERMINATION

Either party may terminate this Agreement with thirty (30) days written notice. All benefits terminate upon cancellation, and all compensation for the period is forfeited.

9. GOVERNING LAW

This Agreement is governed by and interpreted under the laws of the State of Florida.
